Terms and Conditions for Tip Payer
Important Clauses
UAB Inovacijų kodas, a company established in Lithuania, legal entity code 307091386, registered address Chemijos g. 27C-62, LT-51332 Kaunas, email [email protected], (“Company”, “we”, or “Inovacijų kodas”) has developed and operates a platform (“Platform”) that enables customers to leave non-cash gratuities (tips) via QR code-based web pages or mobile apps (“Service”).
These Terms and Conditions (“T&C”) govern the use of the Platform by the person providing a gratuity (the “user” or “tip payer”). Please read them carefully before using the Platform. By clicking the “Pay Tip” button or proceeding with payment, you agree to be bound by these T&C.
If you do not agree with these T&C or our Privacy Policy (available separately), do not proceed with the payment or interact with the Platform.
1. Service Description
The Service allows you to provide a voluntary, non-cash tip to an individual service provider (e.g., waiter, driver, hotel staff) using a secure web-based interface accessible via a QR code. You may pay using a bank card, Apple Pay, Google Pay, or other methods offered at the time.
Note: A service fee may be charged by the Company and will be visible prior to confirming payment. Always review the full amount before proceeding.
2. License
We grant you a limited, non-exclusive, non-transferable license to use the Platform for personal purposes related to tip payments only. You may not reverse-engineer, redistribute, or use the Service for unlawful purposes.
3. Access Requirements
You must have internet access and a compatible device to use the Service. You are responsible for any internet or data charges incurred.
4. Data Processing
By using the Platform, you acknowledge and agree that the Company may collect technical or transactional data as described in our Privacy Policy. Personal data provided voluntarily (e.g., via feedback forms) will be processed in accordance with applicable laws.
5. Limitations & Disclaimers
The Service is provided “as is” and “as available.” While we aim for high reliability, we do not guarantee uninterrupted access or error-free functionality. We are not liable for any losses resulting from the use of or inability to use the Service, unless caused by our gross negligence or willful misconduct.
6. Changes to the Service
We reserve the right to modify, suspend, or discontinue the Platform at any time, without prior notice. Continued use after changes implies acceptance of the updated terms.
7. Third-Party Links
Our Platform may contain links to external services. We are not responsible for content or practices on those sites and advise you to review their terms and privacy policies separately.
8. Intellectual Property
All content, design elements, and software within the Platform are owned by or licensed to UAB Inovacijų kodas. Unauthorized use is prohibited.
9. Indemnification
You agree to indemnify and hold harmless UAB Inovacijų kodas and its affiliates from any claims, losses, or damages resulting from your misuse of the Platform or violation of these T&C.
10. Termination
We may revoke your access at any time if you breach these terms. Upon termination, you must cease use of the Service.
11. Governing Law & Jurisdiction
These T&C are governed by the laws of the Republic of Lithuania. Any disputes shall be resolved in the courts of Vilnius.
12. Force Majeure
We are not liable for delays or failures due to events beyond our control, such as internet outages, strikes, natural disasters, or government restrictions.
13. Compliance with Payment Regulations
All payments are processed through licensed third-party payment providers. The Company does not store or process payment card details directly. By using the Service, you agree to the terms and conditions of these payment providers (such as Stripe or others), including their respective privacy and refund policies.
14. Age Restriction
By using the Platform, you confirm that you are at least 18 years old or of legal age in your jurisdiction. If you are under the legal age, you must not use the Service.
15. Severability
If any provision of these T&C is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These T&C, together with the Privacy Policy, constitute the entire agreement between you and UAB Inovacijų kodas regarding the use of the Platform, superseding any prior agreements.
17. Updates to Terms
We reserve the right to update or modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Platform. It is your responsibility to review the T&C periodically.
